The Site provides an online marketplace for the following goods, products, and/or services: Online courses, community membership (the “Marketplace Offerings”). In order to help make the Site a secure environment for the purchase and sale of Marketplace Offerings, all users are required to accept and comply with these Terms of Use. You agree that by accessing the Site and/or the Marketplace Offerings, you have read, understood, and agree to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND/OR THE MARKETPLACE OFFERINGS AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. The Site is not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use this Site. We reserve all rights not expressly granted to you in and to the Site, the Content and the Marks.
USER REPRESENTATIONS
By using the Site or the Marketplace Offerings, you represent and warrant that:(1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Site or the Marketplace Offerings through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Site for any illegal or unauthorized purpose; and (7) your use of the Site or the Marketplace Offerings will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).
You may not use the Site or the Marketplace Offerings for any illegal or unauthorized purpose nor may you, in the use of Marketplace Offerings, violate any laws. Among unauthorized Marketplace Offerings are the following: intoxicants of any sort; illegal drugs or other illegal products; alcoholic beverages; games of chance; and pornography or graphic adult content, images, or other adult products. Postings of any unauthorized products or content may result in immediate termination of your account and a lifetime ban from use of the Site.
We are a service provider and make no representations as to the safety, effectiveness, adequacy, accuracy, availability, prices, ratings, reviews, or legality of any of the information contained on the Site or the Marketplace Offerings displayed or offered through the Site. You understand and agree that the content of the Site does not contain or constitute representations to be reasonably relied upon, and you agree to hold us harmless from any errors, omissions, or misrepresentations contained within the Site’s content. We do not endorse or recommend any Marketplace Offerings and the Site is provided for informational and advertising purposes only.
USER REGISTRATION
You may be required to register with the Site in order to access the Marketplace Offerings. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
MARKETPLACE OFFERINGS
All Marketplace Offerings are subject to availability, and we cannot guarantee that Marketplace Offerings will be in stock. Certain Marketplace Offerings may be available exclusively online through the Site. Such Marketplace Offerings may have limited quantities and are subject to return or exchange only according to our Return Policy.
We reserve the right to limit the quantities of the Marketplace Offerings offered or available on the Site. All descriptions or pricing of the Marketplace Offerings are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any Marketplace Offerings at any time for any reason. PURCHASES AND PAYMENT

You agree to provide current, complete, and accurate purchase and account information for all purchases of the Marketplace Offerings made via the Site. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in U.S. dollars.
You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. If your order is subject to recurring charges, then you consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.
We reserve the right to refuse any order placed through the Site. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same payment method, and/or orders that use the same billing or shipping address. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.

Purchase of the product “Find your First Client Mini-Course” does not give you access to the full OBM University, OBM University Community, or Prowess Job pool or qualify you for the OBM University Guarantee.
Find your First Client Mini-Course is a stand-alone product and separate access from the OBM University.
The success of the mini-course is not a guarantee.
TERMS OF GUARANTEE (FOR OBM UNIVERSITY ONLY)
If you follow our OBM University program consistently by submitting your progress weekly and agreeing to our first client terms, you may stay in the Prowess OBM University program beyond the 6 months and until you secure your first client.
Qualifications for the guarantee:
You will follow the weekly milestones in the Business Start Kit to set your OBM business up for success. You will complete the weekly outreach forms. You will complete the OBM University coursework & pass the assessment within 6 weeks of enrollment into the program. You will attend the Monthly OBM live calls. You will submit an updated resume tailored to your OBM skills. You will complete the Prowess Profile within 1 week of completing the OBM University final assessment. You accept that the starting OBM rate for Prowess placements is $40/hr. Note: Authorization to work in US is required for Prowess placements.
If all the above is followed, and you are unable to find work, you can stay in the OBM University program for free until your first placement that falls within the OBM guidelines is achieved.

Not applicable for full-time W2 roles. Not applicable if only seeking roles above $40/hr for starting OBM. Not applicable if one or more of the above are missed. Terms & conditions are not negotiable.
REFUNDS POLICY
All sales are final and no refund will be issued.
PROHIBITED ACTIVITIES
You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

Use the Marketplace Offerings as part of any effort to compete with us or otherwise use the Site and/or the Content for any revenue-generating endeavor or commercial enterprise.
Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site.
Attempt to bypass any measures of the Site designed to prevent or restrict access to the Site, or any portion of the Site.
Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Marketplace Offerings to you.
Delete the copyright or other proprietary rights notice from any Content.
Copy or adapt the Site’s software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Site or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Marketplace Offerings.
Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).
Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.
Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site.
Use the Site in a manner inconsistent with any applicable laws or regulations.
USER GENERATED CONTRIBUTIONS
The Site may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Site, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, “Contributions”). Contributions may be viewable by other users of the Site and the Marketplace Offerings and through third-party websites. As such, any Contributions you transmit may be treated as non-confidential and non-proprietary. When you create or make available any Contributions, you thereby represent and warrant that:
The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.
You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Site, and other users of the Site to use your Contributions in any manner contemplated by the Site and these Terms of Use.
You have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of your Contributions in any manner contemplated by the Site and these Terms of Use.
Your Contributions are not false, inaccurate, or misleading.
Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by us).
Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
Your Contributions are not used to harass or threaten (in the legal sense of those terms) any other person and to promote violence against a specific person or class of people.
Your Contributions do not violate any applicable law, regulation, or rule.
Your Contributions do not violate the privacy or publicity rights of any third party.
Your Contributions do not contain any material that solicits personal information from anyone under the age of 18 or exploits people under the age of 18 in a sexual or violent manner.
Your Contributions do not violate any applicable law concerning child pornography, or otherwise intended to protect the health or well-being of minors.
Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap.
Your Contributions do not otherwise violate, or link to material that violates, any provision of these Terms of Use, or any applicable law or regulation.
Any use of the Site or the Marketplace Offerings in violation of the foregoing violates these Terms of Use and may result in, among other things, termination or suspension of your rights to use the Site and the Marketplace Offerings.
CONTRIBUTION LICENSE
By posting your Contributions to any part of the Site, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions, and grant and authorize sublicenses of the foregoing. You waive all moral rights in your Contributions, and you warrant that moral rights have not otherwise been asserted in your Contributions.
We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Site. You are solely responsible for your Contributions to the Site and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.
We have the right, in our sole and absolute discretion, (1) to edit, redact, or otherwise change any Contributions; (2) to re-categorize any Contributions to place them in more appropriate locations on the Site; and (3) to pre-screen or delete any Contributions at any time and for any reason, without notice. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SITE AND THE MARKETPLACE OFFERINGS OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

GOVERNING LAW
These Terms of Use and your use of the Site and the Marketplace Offerings are governed by and construed in accordance with the laws of the State of Texas applicable to agreements made and to be entirely performed within the State of Texas, without regard to its conflict of law principles.
DISPUTE RESOLUTION
Any legal action of whatever nature brought by either you or us (collectively, the “Parties” and individually, a “Party”) shall be commenced or prosecuted in the state and federal courts located in Travis, Texas, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms of Use.
CORRECTIONS
There may be information on the Site that contains typographical errors, inaccuracies, or omissions that may relate to the Marketplace Offerings, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.

INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Marketplace Offerings; (3) breach of these Terms of Use; (4) any breach of your representations and warranties set forth in these Terms of Use; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Site or the Marketplace Offerings with whom you connected via the Site. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. USER DATA
We will maintain certain data that you transmit to the Site for the purpose of managing the performance of the Marketplace Offerings, as well as data relating to your use of the Marketplace Offerings. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Marketplace Offerings. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.
ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing. Terms and Conditions for the Use of the OBM University Asset Library
By enrolling in OBM University, you agree to the following terms and conditions for the OBM University Asset Library.
Ownership and Intellectual Property Rights
All templates, resources, and materials within the OBM University Asset Library are the exclusive property of Prowess Project. These materials are protected by copyright and intellectual property laws. No ownership rights are transferred to the user upon access.
License for Personal Use
By accessing the Asset Library, you are granted a non-exclusive, non-transferable, revocable license to use the materials for personal or business operations as outlined in your agreement with Prowess Project. Reselling, redistributing, sharing, or altering the materials for the purpose of resale or distribution is strictly prohibited.
Access Conditions
Access to the Asset Library is granted solely via the Prowess Client Portal upon the signing of a binding contract. Access credentials are unique to the individual user and must not be shared with others.
Prohibited Activities
Downloading and hosting materials on external platforms for public or shared access. Modifying the templates to remove or obscure copyright notices or branding. Reverse-engineering or recreating templates for resale or redistribution.
Disclaimer of Results
The templates and materials provided in the Asset Library are tools to assist in your business operations. Prowess Project does not guarantee specific outcomes or results from the use of these materials, as results depend on various factors outside the control of Prowess Project.
Audit Rights
Prowess Project reserves the right to audit user accounts to ensure compliance with these terms and conditions. This may include, but is not limited to, reviewing access logs and usage patterns. Any violation of these terms may result in the immediate termination of access and legal action, if necessary.
Termination of Access
Prowess Project reserves the right to terminate your access to the Asset Library immediately and without notice if you violate these terms. Legal action may be pursued in cases of intellectual property theft or unauthorized use.
Limitations of Liability
Prowess Project is not liable for any damages resulting from the use of the materials, including but not limited to indirect, incidental, or consequential damages. All materials are provided "as-is" without warranties of any kind, express or implied.
Updates and Modifications
Prowess Project reserves the right to update or modify the materials within the Asset Library at any time. Users will be notified of significant changes via the Prowess Client Portal.

- Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap.
- Your Contributions do not otherwise violate, or link to material that violates, any provision of these Legal Terms, or any applicable law or regulation.
Any use of the Services in violation of the foregoing violates these Legal Terms and may result in, among other things, termination or suspension of your rights to use the Services.
By posting your Contributions to any part of the Services, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and
license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions, and grant and authorize sublicenses of the foregoing. The use and distribution may occur in any media formats and through any media channels.
This license will apply to any form, media, or technology now known or hereafter developed, and includes our use of your name, company name, and franchise name, as applicable, and any of the trademarks, service marks, trade names, logos, and personal and commercial images you provide. You waive all moral rights in your Contributions, and you warrant that moral rights have not otherwise been asserted in your Contributions.
We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Services. You are solely responsible for your Contributions to the Services and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.
We have the right, in our sole and absolute discretion, (1) to edit, redact, or otherwise change any Contributions; (2) to re-categorize
any Contributions to place them in more appropriate locations on the Services; and (3) to pre-screen or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions.
If you access the Services via the App, then we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on wireless electronic devices owned or controlled by you, and to access and use the App on such devices strictly in accordance with the terms and conditions of this mobile application license contained in these Legal Terms. You shall not: (1) except as permitted by applicable law, decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the App; (2) make any modification, adaptation, improvement, enhancement, translation, or derivative work from the App; (3) violate any applicable laws, rules, or regulations in connection with your access or use of the App; (4) remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) posted by us or the licensors of the App; (5) use the App for any revenue-generating endeavor, commercial enterprise, or other purpose for which it is not designed or intended; (6) make the App available over a network or other environment permitting access or use by multiple devices or users at the same time; (7) use the App for creating a product, service, or software that is, directly or indirectly, competitive with or in any way a substitute for the App; (8) use the App to send automated queries to any website or to send any unsolicited commercial email; or (9) use any proprietary information or any of our interfaces or our other intellectual property in the design, development, manufacture, licensing, or distribution of any applications, accessories, or devices for use with the App.
The following terms apply when you use the App obtained from either the Apple Store or Google Play (each an "App Distributor") to access the Services: (1) the license granted to you for our App is limited to a non-transferable license to use the application on a device that utilizes the Apple iOS or Android operating systems, as applicable, and in accordance with the usage rules set forth in the applicable App Distributor’s terms of service; (2) we are responsible for providing any maintenance and support services with respect to the App as specified in the terms and conditions of this mobile application license contained in these Legal Terms or as otherwise required under applicable law, and you acknowledge that each App Distributor has no obligation whatsoever to furnish any maintenance and support services with respect to the App; (3) in the event of any failure of the App to conform to any applicable warranty, you may notify the applicable App Distributor, and the App Distributor, in accordance with its terms and policies, may refund the purchase price, if any, paid for the App, and to the maximum extent permitted by applicable law, the App Distributor will have no other warranty obligation whatsoever with respect to the App; (4) you represent and warrant that (i) you are not located in a country that is subject to a US government embargo, or that has been designated by the US government as a "terrorist supporting" country and (ii) you are not listed on any US government list of prohibited or restricted parties; (5) you must comply with applicable third-party terms of agreement when using the App, e.g., if you have a VoIP application, then you must not be in violation of their wireless data service agreement when using the App; and (6) you acknowledge and agree that the App Distributors are third-party beneficiaries of the terms and conditions in this mobile application license contained in these Legal Terms, and that each App Distributor will have the right (and will be deemed to have accepted the right) to enforce the terms and conditions in this mobile application license contained in these Legal Terms against you as a third-party beneficiary thereof.
The Services may contain (or you may be sent via the App) links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content"). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Services or any Third-Party Content posted on, available through, or installed from the Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

If you access the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Services, you are transferring your data to the United States, and you expressly consent to have your data transferred to and processed in the United States.

If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately notify us using the contact information provided below (a "Notification"). A copy of your Notification will be sent to the person who posted or stored the material addressed in the Notification. Please be advised that pursuant to applicable law you may be held liable for damages if you make material misrepresentations in a Notification. These Legal Terms shall remain in full force and effect while you use the Services. If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Texas applicable to agreements made and to be entirely performed within the State of Texas, without regard to its conflict of law principles.
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the American Arbitration Association (AAA) website. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in
Travis County, Texas. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.
If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Travis County, Texas, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms.
In no event shall any Dispute brought by either Party related in any way to the Services be commenced more than one (1) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
The Parties agree that the following Disputes are not subject to the above provisions concerning binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Services; (3) breach of these Legal Terms; (4) any breach of your representations and warranties set forth in these Legal Terms; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Services with whom you connected via the Services. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Legal Terms and the lack of signing by the parties hereto to execute these Legal Terms.

Purchase of the “OBM U Select” is a one-time transaction and grants you access to the OBM U Select course materials only. By purchasing OBM U Select, you understand and agree to the following additional terms:
No Coaching or Support: This product does not include any live coaching, mentorship, or support from the Prowess Project team or its representatives.
No Community Access: OBM U Select purchasers will not be granted access to the OBM University community, Slack channels, forums, or live sessions.
No Assignment Submissions: Users of OBM U Select will not submit coursework, assignments, or other materials to Prowess Project for review, feedback, or evaluation.
Exclusion from the Job Pool: Purchasing OBM U Select does not grant access to the Prowess Job Pool, nor does it make users eligible for client placement or the OBM University Guarantee.

These Prowess Project Terms and Conditions (these “Terms”) govern the relationship between Prowess Project, Inc., a Delaware corporation with offices located at 9901 Brodie Lane Ste 160 #1168 Austin, TX 78748 (“PPI”), and the undersigned employer client (“Client” or “you”). These Terms comprise the entire agreement between PPI and Client with respect to Client’s access to and use of services provided by PPI pursuant to its OBM candidate identification and recruitment process from time to time (the “Services”), and supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, and communications, both written and oral. These Terms are effective as of the date you agree to the Placement Set-up Fee (the “Effective Date”). By accessing and using the Prowess Placement Services including portal access, you agree to these Terms.
1. Placement Fee Services.
(a) Provision of Access. Subject to and conditioned on Client’s payment of Fees and compliance with these Terms, PPI hereby grants Client a non-exclusive, non-transferable right to access and use the Services and features selected by Client and the documentation and/or other deliverables from time to time in the scope of providing the Services (the “Deliverables”), in each case during the Term, solely for use by Authorized Users in accordance with the terms and conditions herein. The features of the services the Client selects, as such features are described by PPI from time to time in correspondence to Client (level of Services, Deliverables, term, pricing, etc.) are incorporated into and made a part of these Terms. Such use is limited to Client’s internal use. PPI shall provide to Client the necessary passwords and network links or connections to allow Client to access the Services and Deliverables. As used herein, “Authorized Users” mean those of Client’s employees, consultants, contractors, and/or agents in each case (i) who are authorized by Client to access and use the Services and Deliverables under the rights granted to Client pursuant to these Terms, and (ii) for whom access to the Services and Deliverables has been purchased hereunder, which corresponds to the Membership Level. (b) Use Restrictions. Client shall not use the Services or Deliverables for any purposes beyond the scope of the access granted in these Terms. Client shall not at any time, directly or indirectly, and shall not permit any Authorized Users to: (i) copy, modify, or create derivative works of the Services or Deliverables, in whole or in part; (ii) rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available the Services or Deliverables; (iii) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any software component of the Services, in whole or in part; (iv) remove any proprietary notices from the Services or Deliverables; or (v) use the Services or Deliverables in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law. (c) Reservation of Rights. PPI reserves all rights not expressly granted to Client in these Terms. Except for the limited rights and licenses expressly granted under these Terms, nothing in these Terms grants, by implication, waiver, estoppel, or otherwise, to Client or any third party any intellectual property rights or other right, title, or interest in or to the Prowess IP. (d) As used herein: (i) “Prowess IP” means the Services, the Deliverables, and any and all intellectual property provided to Client or any Authorized User in connection with the foregoing. For the avoidance of doubt, Prowess IP includes Aggregated Statistics but does not include Client Data. (ii) “Aggregated Statistics” means data and information related to Client’s use of the Services that is used by PPI in an aggregate and anonymized manner, including to compile statistical and performance information related to the provision and operation of the Services. (iii) “Client Data” means, other than Aggregated Statistics, any information, data, or other content derived from Provider’s monitoring of Client’s access to or use of the Services, but does not include Client’s information, data, and other content, in any form or medium, that is submitted, posted, or otherwise transmitted by or on behalf of Client through the Services. (e) Suspension. Notwithstanding anything to the contrary in these Terms, PPI may temporarily suspend Client’s and any Authorized User’s access to any portion or all of the Services if: (i) PPI reasonably determines that (A) there is a threat or attack on any of the Prowess IP; (B) Client’s or any Authorized User’s use of the Prowess IP disrupts or poses a security risk to the Prowess IP or to any other customer or vendor of PPI; (C) Client, or any Authorized User, is using the Prowess IP for fraudulent or illegal activities; (D) subject to applicable law, Client has ceased to continue its business in the ordinary course, made an assignment for the benefit of creditors or similar disposition of its assets, or become thesubject of any bankruptcy, reorganization, liquidation, dissolution, or similar proceeding; or (E) PPI’s provision of the Services to Client or any Authorized User is prohibited by applicable law; (ii) any vendor of PPI has suspended or terminated PPI’s access to or use of any thirdparty services or products required to enable Client to access the Services; or (iii) if Client fails to make any payments when due hereunder (any such suspension described in subclause (i), (ii), or (iii), a “Service Suspension”). PPI shall use commercially reasonable efforts to provide written notice of any Service Suspension to Client and to provide updates regarding resumption of access to the Services following any Service Suspension. PPI shall use commercially reasonable efforts to resume providing access to the Services as soon as reasonably possible after the event giving rise to the Service Suspension is cured. PPI will have no liability for any damage, liabilities, losses (including any loss of data or profits), or any other consequences that Client or any Authorized User may incur as a result of a Service Suspension. (f) Aggregated Statistics. Notwithstanding anything to the contrary in these Terms, PPI may monitor Client’s use of the Services and collect and compile Aggregated Statistics. As between PPI and Client, all right, title, and interest in Aggregated Statistics, and all intellectual property rights therein, belong to and are retained solely by PPI. Client acknowledges that PPI may compile Aggregated Statistics based on Client Data input into the Services. Client agrees that PPI may (i) make Aggregated Statistics publicly available in compliance with applicable law, and (ii) use Aggregated Statistics to the extent and in the manner permitted under applicable law; provided that such Aggregated Statistics do not identify Client or Client’s Confidential Information. (g) Support. The access rights granted hereunder entitle Client to the support services described from time to time on PPI’s website located at www.prowessproject.com during with respect to the Term. [Optional – delete if not applicable.] Membership Level. 2. Client Responsibilities. Client is responsible and liable for all uses of the Services and Deliverables resulting from access provided by Client, directly or indirectly, whether such access or use is permitted by or in violation of these Terms. Without limiting the generality of the foregoing, Client is responsible for all acts and omissions of Authorized Users, and any act or omission by an Authorized User that would constitute a breach of these Terms if taken by Client will be deemed a breach of these Terms by Client. Client shall use reasonable efforts to make all Authorized Users aware of these Terms as applicable to such Authorized User’s use of the Services and shall cause Authorized Users to comply with such provisions. Client is responsible for keeping its and its Authorized Users’ passwords and access credentials associated with the Prowess Portal confidential. Client agrees that it will not sell or transfer them to any other person or entity. Client will promptly notify PPI about any unauthorized access to its passwords or access credentials. 3. Third-Party Products. PPI may from time to time make third-party products available to Client by incorporating them into the Services (“Third-Party Products”). For purposes of these Terms, such Third-Party Products are subject to their own terms and conditions and any applicable flow-through provisions of which Client is notified by PPI (including through the Prowess Portal) from time to time. If Client does not agree to abide by the applicable terms for any such Third-Party Products, then Client should not install or use such Third-Party Products as part of its use of the Services. 4. Products 5. Payment, Fees, and Other Charges. (a) Fees. In exchange for the Services, Client agrees to pay the fees for the Services as published by PPI from time to time (“Fees”). Onetime Fees, setup Fees, and the first payment of monthly Fees (as applicable) are payable at the time of purchasing the Services. All other Fees, including recurring monthly or annual Fees, are payable in advance as and when invoiced by PPI. Upon invoicing, Fees will be charged to the Client’s credit card by PPI. Should the credit card be declined, PPI will notify Client in writing and allow the Client five (5) business days to provide a valid credit card for payments. (b) Credit Card Authorization. Client authorizes PPI to charge the credit card provided by it at any time for payment according to the terms outlined in these Terms. Client agrees that this authorization will remain in effect unless and until canceled upon at least 30 days’ prior written notice to PPI. Client agrees to notify PPI in writing of any changes in its credit card account information. Client represents that it is an authorized user of any credit card provided pursuant to these Terms, and further agrees that it will not dispute any charges of Fees payable pursuant these Terms with its credit card company. Should the PPI be unable to acquire a new payment method within that timeframe, without limiting PPI’s other rights and remedies PPI may suspend Client’s and its Authorized Users’ access to any portion or all of the Services until all Fees are paid in full and a valid credit card has been provided for future payments. (c) Disputes. Unless Client disputes an invoice in writing within ten (10) calendar days following receipt, the invoice will be deemed final, and Client thereafter waives any right to dispute the invoice. All Fees are non-refundable. (d) Taxes. All Fees and other amounts payable by Client are exclusive of taxes and similar assessments. Client is responsible for all sales, use, and excise taxes, and any other similar taxes, duties, and charges of any kind imposed by any federal, state, or local governmental or regulatory authority on any amounts payable by Client hereunder, other than any taxes imposed on PPI’s income. (e) Refunds. No refunds are provided. 6. Confidentiality. Either party to these Terms (as the “Disclosing Party”) may disclose or make available to the other party (as the “Receiving Party”) information about its business affairs, products/services, confidential intellectual property, trade secrets, thirdparty confidential information and other sensitive or proprietary information, whether or not marked, designated or otherwise identified as “confidential” (collectively, “Confidential Information”). Confidential Information shall not include information that, at the time of disclosure: (i) is or becomes generally available to and known by the public; (ii) is or becomes available to the Receiving Party on a non-confidential basis from a third-party source; (iii) was known by or in the possession of the Receiving Party or its representatives prior to being disclosed by or on behalf of the Disclosing Party; or (iv) was or is independently developed by the Receiving Party without reference to or use of, in whole or in part, any of the Disclosing Party’s Confidential Information. The Receiving Party shall: (A) protect and safeguard the confidentiality of the Disclosing Party’s Confidential Information with at least the same degree of care as the Receiving Party would protect its own Confidential Information, but in no event with less than a commercially reasonable degree of care; (B) not use the Disclosing Party’s Confidential Information, or permit it to be accessed or used, for any purpose other than to exercise its rights or perform its obligations under these Terms; and (C) not disclose any such Confidential Information to any person or entity, except to the Receiving Party’s Authorized Users and employees who need to know the Confidential Information to assist the Receiving Party, or act on its behalf, to exercise its rights or perform its obligations under these Terms. Notwithstanding the foregoing, each party may disclose Confidential Information to the limited extent required (x) in order to comply with the order of a court or other governmental body, or as otherwise necessary to comply with applicable law, provided that the party making the disclosure pursuant to the order shall first have given written notice to the other party and made a reasonable effort to obtain a protective order; or (y) to establish a party’s rights under these Terms, including to make required court filings. On the expiration or termination of these Terms, the Receiving Party shall promptly return to the Disclosing Party all copies, whether in written, electronic, or other form or media, of the Disclosing Party’s Confidential Information, or destroy all such copies and certify in writing to the Disclosing Party that such Confidential Information has been destroyed. Each party’s obligations of non-disclosure with regard to Confidential Information are effective as of Effective Date and will expire five years from the date first disclosed to the Receiving Party; provided, however, with respect to any Confidential Information that constitutes a trade secret (as determined under applicable law), such obligations of non-disclosure will survive the termination or expiration of these Terms for as long as such Confidential Information remains subject to trade secret protection under applicable law. 7. Intellectual Property. (a) Prowess IP. Client acknowledges that, as between Client and PPI, PPI owns all right, title, and interest, including all intellectual property rights, in and to the Prowess IP [and, with respect to Third-Party Products, the applicable third-party providers own all right, title, and interest, including all intellectual property rights, in and to the Third-Party Products]. [NOTE: Delete Third Party Product clause if not applicable.]. (b) Client Data. PPI acknowledges that, as between PPI and Client, Client owns all right, title, and interest, including all intellectual property rights, in and to the Client Data. Client hereby grants to PPI a non-exclusive, royalty-free, worldwide license to reproduce, distribute, and otherwise use and display the Client Data and perform all acts with respect to the Client Data as may be necessary for PPI to provide the Services to Client, and a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to reproduce, distribute, modify, and otherwise use and display Client Data incorporated within the Aggregated Statistics. (c) Feedback. If Client or any of its employees or contractors sends or transmits any communications or materials to PPI by mail, email, telephone, or otherwise, suggesting or recommending changes to the Prowess IP, including without limitation, new features or functionality relating thereto, or any comments, questions, suggestions, or the like {“Feedback”), PPI is free to use such Feedback irrespective of any other obligation or limitation between the Parties governing such Feedback. Client hereby assigns to PPI on Client’s behalf, and on behalf of its employees, contractors and/or agents, all right, title, and Interest in, and PPI is free to use, without any attribution or compensation to any party, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback, for any purpose whatsoever, although PPI is not required to use any Feedback. 8. Use of Descriptions of Services for Promotional Purposes. Client grants PPI the right to use descriptive text, testimonials, performance metrics, and other images, photos and/or graphics that may identify Client and describe the Services for promotional purposes. Within ten (10) days of Client’s written request, PPI shall remove or modify any promotional materials associated with or referencing Client. 9. Limited Warranty and Warranty Disclaimer. (a) PPI warrants to Client that it shall perform the Services in accordance with generally recognized industry standards for similar services. PPI shall not be liable for a breach of the foregoing warranty unless Client gives written notice of the defective Services, reasonably described, to PPI within 30 days of the time when Client discovers or ought to have discovered that the Services were defective. Upon receiving written notice, PPI shall,in its sole discretion, either (i) repair or re-perform such Services (or the defective part) or (ii) credit or refund the price of such Services at the pro rata contract rate. The parties agree that the foregoing is Client’s sole remedy and PPI’s entire liability for breach of the warranty provided herein. PPI has no liability arising from Client’s failure to meet its obligations and responsibilities hereunder. (b) By entering into these Terms, Client acknowledges and understands that the Services provided by PPI may be of a subjective nature, and, while PPI may provide Client with opinions and suggestions on candidates, qualifications, and other matters relating to the Services, such opinions and suggestions constitute PPI’s opinions only and are limited as such and by PPI’s knowledge of the facts at the time of expression, and are subject to any unknown or uncertain factors or conditions beyond PPI’s control. Client acknowledges and agrees that PPI makes no representations, guarantees, warranties, or predictions with regard to any candidate or the outcome of the Services, and nothing in these Terms shall be construed as such a promise or guarantee. (c) EXCEPT FOR THE LIMITED WARRANTY SET FORTH IN SECTION (a), THE SERVICES AND THE PROWESS IP ARE PROVIDED “AS IS” AND PPI HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PPI SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. EXCEPT FOR THE LIMITED WARRANTY SET FORTH IN SECTION (a), PPI MAKES NO WARRANTY OF ANY KIND THAT THE SERVICE OR THE PROWESS IP, OR ANY PRODUCTS OR RESULTS OF THE USE THEREOF, WILL MEET CLIENT’S OR ANY OTHER PERSON’S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY SOFTWARE, SYSTEM, OR OTHER SERVICES, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR FREE. 10. Limitation of Liability. IN NO EVENT WILL PPI BE LIABLE UNDER OR IN CONNECTION WITH THESE TERMS UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE, FOR ANY: (a) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED, OR PUNITIVE DAMAGES; (b) INCREASED COSTS, DIMINUTION IN VALUE OR LOST BUSINESS, PRODUCTION, REVENUES, OR PROFITS; (c) LOSS OF GOODWILL OR REPUTATION; (d) USE, INABILITY TO USE, LOSS, INTERRUPTION, DELAY, OR RECOVERY OF ANY DATA, OR BREACH OF DATA OR SYSTEM SECURITY; OR (e) COST OF REPLACEMENT GOODS OR SERVICES, IN EACH CASE REGARDLESS OF WHETHER PPI WAS ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES OR SUCH LOSSES OR DAMAGES WERE OTHERWISE FORESEEABLE. IN NO EVENT WILL PPI’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE EXCEED THE TOTAL AMOUNTS PAID TO PPI UNDER THESE TERMS IN THE THREE-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 11. Term and Termination. (a) Term. The initial term of these Terms begins on the Effective Date and will continue in effect on a month-pursuant to-month basis the terms of the contractl until terminated as provided hereunder (the “Term”). (c) Effect of Termination. Upon expiration or earlier termination of these Terms, Client shall immediately discontinue use of the Prowess IP and, upon written request by PPI, delete, destroy, or return all copies of the Prowess IP and certify in writing to the PPI that the Prowess IP has been deleted or destroyed. No expiration or termination will affect Client’s obligation to pay all Fees that may have become due before such expiration or termination or entitle Client to any refund. (d) Survival. This Section 10(d) and Section 4- 9 and 11 survive any termination or expiration of these Terms. No other provisions of these Terms survive the expiration or earlier termination hereof. 11. Miscellaneous. (a) Authority; Enforceability. Each party represents and warrants to the other party that it is duly organized, validly existing and in good standing as a corporation or other entity as represented herein under the laws and regulations of its jurisdiction of incorporation, organization or chartering; it has the full right, power and authority to enter into these Terms, to grant the rights and licenses granted hereunder and to perform its obligations hereunder; the execution of these Terms by its representative whose signature is set forth at the end hereof has been duly authorized by all necessary corporate action of the party; and when executed and delivered by such party, these Terms will constitute the legal, valid and binding obligation of such party, enforceable against such party in accordance with its terms. (b) Notices. All notices, requests, consents, claims, demands, invoices, waivers and other communications hereunder (each, a “Notice”) shall be in writing. Notices to PPI shall be addressed to the address set forth on the first page of these Terms or to such other address that may be designated by PPI in writing to Client, and must be delivered either in person, by certified or registered mail, return receipt requested and postage prepaid, or by recognized overnight courier service, and are deemed given upon receipt by us. Notwithstanding the foregoing, Client hereby consents to receiving electronic communications from PPI. These electronic communications may include Notices about applicable fees and charges, transactional information, and other information concerning or related to these Terms or the Prowess Portal. Client agrees that any Notices or other communications that PPI sends to you electronically to any email address provided by Client will satisfy any legal communication requirements, including that such communications be in writing. Except as otherwise provided in these Terms, a Notice is effective only (a) upon receipt of the receiving party, and (b) if the party giving the Notice has complied with the requirements of this Section. (c) Choice of Law; Dispute Resolution. (i) All matters arising out of or relating to these Terms are governed by and construed in accordance with the internal laws of the State of Texas without giving effect to any choice or conflict of law provision or rule (whether of the State of Texas or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of Texas. (ii) Any dispute, controversy, legal action or proceeding arising out of or relating to these Terms (a “Dispute”) shall be settled by arbitration to be held in Austin, Texas in accordance with the Commercial Arbitration Rules then in effect of the American Arbitration Association. The arbitrator may grant injunctions or other relief in such Dispute. The decision of the arbitrator shall be final, conclusive, and binding on the parties to the arbitration. Judgment may be entered on the arbitrator’s decision in any court having jurisdiction. (iii) Notwithstanding the foregoing, each party agrees that, prior to taking any formal legal action against the other party with respect to a Dispute, it shall send written notice to the other party of the Dispute and the parties shall first attempt in good faith to resolve the Dispute by negotiation and consultation between themselves, including without limitation not fewer than three negotiation sessions involving a representative from each party with the authority to resolve the Dispute and a period of not less than 45 days. If, following such efforts the parties cannot resolve the Dispute, either party may then initiate arbitration. Notwithstanding the foregoing, nothing in this Section shall prevent each party’s right to seek injunctive relief in the event of the other party’s violation of Sections 1(b), 5, or 6. (iv) Each party irrevocably and unconditionally waives any right it may have to a trial by jury in respect of any legal action arising out of or relating to these Terms or the transactions contemplated hereby. The prevailing party in any Dispute shall be entitled to recover his, her or its reasonable attorney’s fees and reasonable out-of-pocket expenses incurred in the prosecution or defense of claims in such dispute. (v) Further, each party acknowledges and agrees that a breach or threatened breach by such party of any of its obligations under Section 5 or, in the case of Client also Sections 1(b) or 6, would cause the other party irreparable harm for which monetary damages would not be an adequate remedy and agrees that, in the event of such breach or threatened breach, the other party will be entitled to equitable relief, including a restraining order, an injunction, specific performance, and any other relief that may be available from any court, without any requirement to post a bond or other security, or to prove actual damages or that monetary damages are not an adequate remedy. Such remedies are not exclusive and are in addition to all other remedies that may be available at law, in equity, or otherwise. (d) Force Majeure. In no event shall PPI be liable to Client, or be deemed to have breached these Terms, for any failure or delay in performing its obligations under these Terms, if and to the extent such failure or delay is caused by any circumstances beyond PPI’s reasonable control, including but not limited to a lack of employment candidate, government order, law, or actions, telecommunication or internet breakdowns, power outages or shortage, or national or regional emergency. (e) Assignability. These Terms are for the sole benefit of the parties hereto and their respective successors and permitted assigns and nothing herein, express or implied, is intended to or shall confer upon any other person any legal or equitable right, benefit, or remedy of any nature whatsoever, under or by reason of these Terms. Client shall not assign any of its rights or delegate any of its obligations under these Terms without the prior written consent of PPI. (f) Severability. If any term or provision of these Terms is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms or invalidate or render unenforceable such term or provision in any other jurisdiction. (g) Independent Contractors. The relationship between the parties is that of independent contractors. Nothing contained in these Terms shall be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment, or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever. (h) Export Regulation. Client shall comply with all applicable federal laws, regulations, and rules, and complete all required undertakings (including obtaining any necessary export license or other governmental approval), that prohibit or restrict the export or re-export of the Services or any Client Data outside the United States. (i) Entire Agreement. These Terms (including any provisions expressly incorporated by reference herein) constitute the entire terms of the agreement between PPI and Client, and supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, and communications, both written and oral. These Terms can be modified only by a written agreement signed both by Client and PPI. (j) Counterparts; Electronic Agreement. These Terms may be executed in counterparts, each of which is deemed an original, but all of which together are deemed to be one and the same agreement. Each party agrees that the electronic signatures, whether digital or encrypted, of the parties to these Terms are intended to authenticate this writing and to have the same force and effect as manual signatures

Scope of Services Payment covers the one-time AI Diagnostic as outlined in the Statement of Work provided to you. Services are strategic and diagnostic in nature and do not include implementation unless separately agreed.
Payment & RefundAll fees are non-refundable.Payment must be made in full before Services begin (or according to the agreed milestone schedule).Failure to complete payment may delay delivery of Services.
Deliverables & OwnershipUpon full payment, Client owns the Deliverables created specifically for them (e.g., Transformation Statement, Knowledge Base Framework, SOP Generator Prompt, Brand Voice Agent Framework, AI Opportunities Report, and Ethics Starter Kit).Contractor retains ownership of pre-existing templates, frameworks, and methodologies used in creating Deliverables, which are licensed to Client for internal business use only.
Client ResponsibilitiesClient agrees to provide timely access to information, documents, and personnel necessary for completion of Services. Delays in providing information may extend delivery timelines.
Disclaimer Deliverables are recommendations and strategic guidance only. Contractor makes no guarantees regarding outcomes, performance, or financial results. The AI Ethics & Compliance Starter Kit is not legal advice; Client should consult legal counsel prior to adoption.
Limitation of LiabilityContractor’s liability shall not exceed the total fees paid by Client. Contractor is not liable for indirect, incidental, or consequential damages.
7. Governing Law This agreement is governed by the laws of Texas. By completing payment, Client acknowledges that they have read, understood, and agreed to these Terms & Conditions.
